GTCS IN FRANCE
Pricing:
MURE & PEYROT reserves the right to modify its prices at any time, particularly in the event of an increase in raw material costs, and these will then be communicated to the client by any means. The selling prices of our products are those in effect on the order validation date by MURE & PEYROT, as stated in the price list attached to the order confirmation email sent to the client, confirming the invoiced price, based on the tariff in force at the time of order validation.
Our prices are quoted exclusive of tax in Euros, net without discount, with shipping and packaging extra. Our supplies are invoiced at the prices in effect at the time of delivery, free of charge for shipping and packaging in metropolitan France for orders of 500 Euros net ex-VAT or more.
We cannot accept orders under 250 Euros ex-VAT due to invoicing fees of 50 Euros ex-VAT.
For any order between 250 Euros and 500 Euros ex-VAT, a flat rate of 25 Euros ex-VAT for shipping and packaging will be charged.
Acceptance:
Orders transmitted by our agents or representatives, or addressed directly by our clients, are only binding upon our acceptance. Under no circumstances can our clients' terms and conditions be invoked against our terms of sale.
PLACING AN ORDER IMPLIES UNRESERVED ACCEPTANCE OF OUR TERMS AND CONDITIONS. We do not accept any returns of goods unless explicitly agreed upon by us in writing.
The General Terms and Conditions of Sale (GTCS) are enforceable against the client, who acknowledges having read and expressly accepted them without reservation before validating their order. Any order placement constitutes acceptance of the GTCS. The GTCS, along with the purchase order, the order confirmation email (if applicable), and the invoices, constitute the contractual documents enforceable against the client and together form the contract, to the exclusion of any other documents, particularly the client's own general terms and conditions of sale and/or purchase and/or their own purchase orders. In case of contradiction between the GTCS and the purchase order, the provisions of the purchase order shall prevail. Any conditions deviating from these terms are binding on MURE & PEYROT only if accepted in writing. The GTCS applicable to the client are those in effect on the order date.
Lead Times:
Lead times are provided for informational purposes only and are not binding on our part. Any potential delay in exceeding them shall not result in compensation or late penalties.
Shipping:
All our goods travel at the recipient's risk, even those shipped carriage paid. It is the recipient's responsibility to make all reservations and to exercise their recourse, if applicable, with the carrier.
Payment:
Our goods are payable, upon acceptance, 30 DAYS END OF MONTH from the invoice date or goods dispatch date, net without discount. For any deferred payment, a daily charge of 0.5% will be applied. ANY ORDER IMPLIES ACCEPTANCE OF OUR TERMS AND CONDITIONS. By express agreement, and unless a deferral is requested in due time and granted by us, failure to pay for our supplies by the due date will result in:
1/ the immediate enforceability of all remaining outstanding amounts, regardless of the payment method (by draft or otherwise).
2/ the enforceability of penalties amounting to three times the legal interest rate. Late payment penalties are due without prior notice. Additionally, a fixed compensation of 40 Euros for recovery costs will be charged in addition to late payment penalties in the event of payment delay.
Jurisdiction:
No claims will be accepted after one month from the date of goods receipt. In the event of a dispute, the Commercial Court of Bordeaux shall have sole jurisdiction, irrespective of any reservations expressed by the client on this matter. Our drafts or payment acceptances do not constitute a derogation from this jurisdiction clause.
Retention of Title:
The company retains ownership of the delivered goods until full payment of the price and, where applicable, any associated charges. Nevertheless, the buyer assumes full and complete responsibility for the goods upon their delivery.
Liability:
In the event of a dispute, liability is limited to the replacement of the goods without any compensation. Mure & Peyrot reserves the right to improve its product range at any time.
